TERMS & CONDITIONS

1.Introduction

These Terms & Conditions (“Terms”) govern the access to and use of the LazarionX platform, software, dashboards, automation tools, analytics tools, APIs, and related services (collectively, the “Services”). By accessing or using LazarionX, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree with these Terms, you must immediately discontinue the use of the Services.

2.Nature of Services

LazarionX is a technology and software licensing platform providing algorithmic trading automation tools, execution assistance technologies, analytics interfaces, and broker connectivity solutions. LazarionX:

  • is NOT a broker;
  • is NOT a financial institution;
  • is NOT an investment advisor;
  • is NOT a portfolio manager;
  • does NOT provide fiduciary services;
  • does NOT hold client funds;
  • does NOT execute trades on behalf of users;
  • does NOT provide financial, legal, or tax advice.

All broker services, trading infrastructure, PAMM/MAM infrastructures, custodial services, and financial services are operated exclusively by independent third-party brokers and financial institutions.

3.Eligibility

Users must:

  • be at least 18 years old;
  • have full legal capacity;
  • comply with all laws applicable in their jurisdiction.

LazarionX reserves the right to refuse access to any user at its sole discretion.

4.Software License

LazarionX grants users a limited, non-exclusive, non-transferable, revocable license to access and use the software for personal or internal business purposes. Users may NOT:

  • resell the software;
  • sublicense the software;
  • reverse engineer the software;
  • copy or redistribute the software;
  • use the software unlawfully;
  • use the software for fraudulent purposes.

All intellectual property rights remain the exclusive property of LazarionX.

5.Lifetime License

Where applicable, a “Lifetime License” grants access to the Services for the operational lifetime of the software product, subject to:

  • continued platform availability;
  • compliance with these Terms;
  • technical limitations;
  • force majeure events;
  • business restructuring;
  • third-party provider availability.

LazarionX reserves the right to modify, replace, discontinue, or update features at any time.

6.Third-Party Brokers

Users may connect the software to third-party brokers of their own choice. LazarionX may recommend certain brokers for compatibility purposes; however:

  • users remain free to select any supported broker;
  • LazarionX does not guarantee broker performance;
  • LazarionX does not control broker operations;
  • LazarionX is not responsible for broker failures, insolvencies, withdrawals, execution delays, or losses.

Users enter into separate agreements directly with brokers.

7.Trading Risks

Trading financial markets involves substantial risk. Users acknowledge that:

  • losses may exceed expectations;
  • trading performance is never guaranteed;
  • past performance does not guarantee future results;
  • algorithmic trading involves technical and market risks;
  • PAMM/MAM/copy trading systems involve additional risks.

Users assume full responsibility for all trading decisions and outcomes.

8.No Investment Advice

All content provided by LazarionX is for informational and technological purposes only. Nothing on the platform constitutes:

  • investment advice;
  • financial advice;
  • portfolio management;
  • solicitation to invest;
  • guarantee of profits;
  • financial recommendation.

Users are solely responsible for evaluating the suitability of any strategy or broker.

9.No Custody of Funds

LazarionX never:

  • receives client deposits;
  • holds client funds;
  • controls withdrawals;
  • manages wallets;
  • acts as custodian.

All funds remain exclusively under the custody of third-party brokers.

10.Fees

Users may pay licensing fees for software access. Broker fees, spreads, performance fees, or trading-related commissions may be charged separately by brokers or independent financial service providers. LazarionX may receive compensation, commissions, or revenue-sharing arrangements from certain broker partners.

11.Refund Policy

Due to the digital nature of the software, all sales are final. No refunds shall be provided after:

LazarionX reserves the right to deny refunds in cases of:

  • software access has been granted;
  • accounts have been activated;
  • digital delivery has occurred.
  • abuse;
  • fraud;
  • chargeback threats;
  • misuse of the platform.

12.Limitation of Liability

To the maximum extent permitted by law, LazarionX shall not be liable for:

  • trading losses;
  • broker insolvency;
  • technical outages;
  • API failures;
  • market volatility;
  • indirect damages;
  • loss of profits;
  • data interruptions;
  • third-party actions.

Users use the Services entirely at their own risk.

13.Termination

LazarionX may suspend or terminate access immediately if:

  • these Terms are violated;
  • fraudulent activity is suspected;
  • compliance concerns arise;
  • abuse is detected.

14.Compliance & Restricted Jurisdictions

Users may not use the Services if located in jurisdictions subject to sanctions or regulatory prohibitions. LazarionX reserves the right to restrict access in any jurisdiction at its sole discretion.

15.Governing Law

These Terms shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
